Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Radiance Infotech website, software products, and services. Please read them carefully before using our services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By using any Radiance Infotech product or service, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of your organisation, and agree to comply with these Terms. If you do not agree, please do not use our services.

2. Software Licence

Subject to payment of applicable fees and compliance with these Terms, Radiance Infotech grants you a limited, non-exclusive, non-transferable licence to use our software for your internal business purposes. This licence is:

• Valid only for the number of users specified in your purchase agreement
• Restricted to your organisation's internal use only
• Subject to the specific product and deployment terms in your service agreement
• Revocable in case of breach of these Terms

3. Restrictions

You must not, and must not permit others to:

• Copy, modify, distribute, sell, or sub-licence our software or any part of it
• Reverse engineer, decompile, or attempt to extract source code
• Use the software for any unlawful purpose or in violation of any regulation
• Use our services to develop competing products
• Share login credentials with unauthorised users
• Attempt to access systems or data beyond your authorised scope
• Remove or alter any proprietary notices, logos, or branding

4. Payment Terms

All fees are as specified in your service agreement or invoice. Unless otherwise agreed:

• Annual licence fees are payable in advance
• All prices are exclusive of GST (18% applicable)
• Late payments may attract interest at 18% per annum
• Refunds are available within 14 days of purchase for standard products if the software has not been deployed
• Customised software development fees are non-refundable once development commences

5. Your Data

You retain full ownership of all data you enter into our software. We act as a data processor on your behalf. We will:

• Process your data only as necessary to provide the agreed services
• Not access your business data without your permission except for support purposes
• Maintain appropriate technical and organisational security measures
• Provide you with data exports upon request in standard formats
• Delete your data within 30 days of contract termination (subject to legal retention obligations)

6. Intellectual Property

All intellectual property rights in our software, documentation, and website content — including but not limited to source code, algorithms, designs, and trademarks — remain the exclusive property of Radiance Infotech. Nothing in these Terms transfers any ownership of our intellectual property to you. You may not use our name, logo, or trademarks without prior written consent.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Radiance Infotech's total liability to you for any claims arising from your use of our services shall not exceed the fees paid by you in the 12 months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. This limitation applies regardless of whether we were advised of the possibility of such damages.

We do not warrant that our software will be error-free or uninterrupted, though we commit to maintaining 99.9% uptime for cloud-hosted services (as specified in SLA terms).

8. Termination

Either party may terminate the service agreement with 30 days written notice. Radiance Infotech may terminate immediately if you:

• Breach these Terms and fail to remedy the breach within 14 days of notice
• Fail to pay fees when due
• Use the software for illegal activities
• Become insolvent or subject to insolvency proceedings

Upon termination, your licence to use the software ends immediately. We will provide you with a data export within 30 days of termination.

9. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts in Maharashtra, India. We encourage resolution of disputes through negotiation or mediation before litigation.
